Terms of Service — Axon Networks

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you") and Axon Networks, Inc. ("Axon," "we," "us"), a Delaware corporation. By accessing or using the Axon platform and services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing our API, or using any Axon service, you represent that you have read, understood, and agree to these Terms. If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not use our Services.

2. Description of Services

Axon provides a cloud-based edge infrastructure platform including, without limitation: distributed edge routing (Axon Fabric), API gateway services (Axon Gateway), observability tools (Axon Observe), and traffic management (Axon Route). The specific features available to you depend on your subscription plan.

We reserve the right to modify, suspend, or discontinue any feature of the Services with reasonable advance notice, except where prohibited by law or required for security purposes.

3. Accounts and Access

You must provide accurate and complete registration information. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access to your account at security@axonnetworks.io.

You may not share account credentials with third parties. Multi-seat access requires a Growth or Enterprise plan with named user seats.

4. Acceptable Use

You agree not to use the Services to:

Violate any applicable law or regulation.
Transmit malware, viruses, or malicious code.
Conduct distributed denial-of-service (DDoS) attacks against any target.
Mine cryptocurrency without our express written consent.
Store or transmit child sexual abuse material or other illegal content.
Circumvent, disable, or interfere with security-related features of the Services.
Resell or sublicense the Services without our written consent (except as permitted under Enterprise partner agreements).

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy without prior notice when necessary to protect the platform or other customers.

5. Payment and Billing

Paid plans are billed monthly or annually in advance. Usage-based charges (e.g., egress overages) are billed monthly in arrears. All fees are non-refundable except as expressly stated in these Terms or required by law.

We will provide at least 30 days' notice of price increases for existing subscriptions. Your continued use of the Services after the notice period constitutes acceptance of the new pricing.

Late payments accrue interest at 1.5% per month. If payment fails, we may suspend your account after 10 days' notice.

6. Service Level Agreement

Axon provides the following uptime commitments, measured monthly excluding scheduled maintenance:

Starter: No SLA. Best-effort availability.
Growth: 99.95% monthly uptime. Service credits if we fall below this threshold.
Enterprise: 99.999% monthly uptime. Financial service credits up to one month's fees.

Service credits are your sole and exclusive remedy for downtime. Credits do not apply to downtime caused by Customer actions, third-party services, or force majeure events.

7. Intellectual Property

Axon retains all intellectual property rights in the Services, including software, documentation, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable license to use the Services during the term of your subscription.

You retain ownership of all data and content you transmit through the Services ("Customer Data"). You grant Axon a limited license to process Customer Data solely to provide the Services.

8. Confidentiality

Each party agrees to keep the other's Confidential Information (non-public business information, technical data, pricing not publicly disclosed) strictly confidential and not to use it for any purpose other than to perform obligations under these Terms. This obligation survives termination of the agreement for a period of three years.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AXON'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) TWELVE MONTHS OF FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

IN NO EVENT SHALL AXON BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations apply regardless of the form of action (contract, tort, strict liability, or otherwise).

10. Termination

Either party may terminate these Terms at any time with 30 days' written notice. Axon may terminate immediately for material breach, including violation of the Acceptable Use Policy.

Upon termination, your access will cease and your data will be deleted within 30 days, except where retention is required by law. We will provide a data export upon request made before the deletion date.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in San Francisco, CA under the JAMS Streamlined Arbitration Rules, except that either party may seek injunctive relief in court to protect intellectual property or confidential information.

You waive any right to participate in a class-action lawsuit or class-wide arbitration against Axon.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email to your registered address at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
